Title I: Simplification of administrative formalities imposed on companies. , Art. 1 , Art. 2 , Art. 3 , Art. 4 , Art. 4-1 - LAW n° 96-603 of July 5, 1996 Art. 19-1 VIII.-This article comes into force on a date set by decree in the Council of State, and no later than January 1, 2023. This decree defines the transitional procedures implemented from the establishment of the organization provided for in the second paragraph of Article L. 123-33 of the Commercial Code , which takes effect on January 1, 2021 at the latest. Section 2 Modified by Ordinance n°2019-964 of September 18, 2019 - art. 35 (DV) I.-Under the conditions provided for in Article 38 of the Constitution, the Government is authorized, for the purpose of simplifying business procedures, reducing costs and processing times, particularly administrative, and improving the access to information relating to the life of companies, to be taken by ordinance, within twenty-four months of the publication of this law, the provisions falling within the scope of the law allowing: 1° To create a general dematerialized register of companies specifying the nature of their activity, in particular artisanal or agricultural, and having as its object the collection, conservation and dissemination of information concerning these companies and to determine the legal regime applicable to this register. This replaces the existing business directories and registers, with the exception of the national directory of companies and their establishments kept by the National Institute of Statistics and Economic Studies and the registers kept by the clerks of the courts of commerce and the registries of the judicial courts in the departments of Bas-Rhin, Haut-Rhin and Moselle or of the courts of first instance ruling in commercial matters in the communities under the article 74 of the Constitution. The consular chambers have permanent and free access to the information contained in this register; 2° To simplify the reporting obligations of persons registered in the existing registers and directories and the procedures for checking the information declared; 3° To make the modifications, clarifications and consistency related to the measures taken in 1° and 2°; 4° To make applicable in New Caledonia, French Polynesia and Wallis-et-Futuna, with the necessary adaptations, the provisions of the Commercial Code, the Intellectual Property Code and, where applicable, other codes and laws, in their drafting resulting from ordinances taken pursuant to 1° to 3°, for those which fall within the competence of the State in these communities, and to make the necessary adaptations of these provisions with regard to the departments of the Moselle, Haut-Rhin, Bas-Rhin and Mayotte as well as the communities of Saint-Barthélemy, Saint-Martin and Saint-Pierre-et-Miquelon. XIII.-II of Article L. 130-1 of the Social Security Code does not apply: 1° When the workforce of the company is, on 1 January 2020, greater than or equal to a threshold and that this company was subject, for the year 2019, to the provisions applicable in the case of a workforce greater than or equal to this threshold; 2° When the company is the beneficiary, on 1 January 2020, of the provisions set out in XII of this article. Employers who, due to the increase in their workforce, reach or exceed for the year 2018 or the year 2019, and in any case before December 31, 2019, for the first time, the workforce of eleven employees remain subject, for this year and the following four years, to the contribution rate provided for in Article L. 6331-1 of the Labor Code. For these employers, II of Article L. 130-1 of the Social Security Code applies from January 1, 2020. XIV.- Subject to XII and XIII, this article comes into force on January 1, 2020. However, for the fiscal years ending on or after December 31, 2018, when the duties of an auditor expire after the deliberation of the general meeting or the competent body ruling on the accounts for the sixth fiscal year, that this fiscal year has been closed six months at the most before the publication of the decree mentioned in articles L. 225-218 and L. 226-6 of the commercial code in their wording resulting from this law, as well as in articles L. 221-9 , L. 223-35and L. 227-9-1 of the same code, that this deliberation was not held prior to the entry into force of this article, and that at the closing of these accounts, the company does not exceed two out of three thresholds defined by this decree, the company is exempted from the obligation to appoint an auditor, if it has not already made this appointment. III.-The thresholds set by the decrees provided for in Articles L. 221-9, L. 223-35, L. 227-9-1 , L. 225-218, L. 226-6 and L. 823-2- 2 of the Commercial Code, in their wording resulting from this article, are applicable to companies domiciled for tax purposes in an overseas collectivity governed by article 73 of the Constitution as of January 1, 2021. II bis. - Par dérogation à la loi n° 52-1311 du 10 décembre 1952 relative à l'établissement obligatoire d'un statut du personnel administratif des chambres d'agriculture, des chambres de commerce et des chambres de métiers, les agents des chambres de commerce et d'industrie bénéficient du congé de paternité et d'accueil de l'enfant, dans les conditions prévues aux articles L. 1225-35 à L. 1225-36 du code du travail. Ce congé se substitue à celui prévu à l'article 32.3 du statut du personnel des chambres de commerce et d'industrie. III. - Le président de CCI France négocie et signe la convention collective mentionnée à l'article L. 712-11 du code de commerce après les élections des comités économiques et sociaux mentionnées au IV du présent article et dans un délai de dix-huit mois à compter de la promulgation de la loi n° 2022-172 du 14 février 2022 en faveur de l'activité professionnelle indépendante. En cas d'échec des négociations, par dérogation à l'article L. 2261-2 du code du travail, la convention collective applicable au personnel des chambres de commerce et d'industrie de région et de CCI France, à l'exception du personnel des services industriels et commerciaux, est celle qui s'applique aux activités d'appui, d'accompagnement et de conseil auprès des entreprises. Jusqu'au dépôt de la convention collective mentionné au II du présent article ou, en cas d'échec des négociations, jusqu'au terme du délai fixé au premier alinéa du présent III, les personnels de droit privé recrutés en application de l'article L. 710-1 du code de commerce dans sa rédaction résultant du h du 1° du I du présent article sont soumis aux dispositions du code du travail, aux stipulations de leur contrat de travail et aux dispositions du statut du personnel administratif des chambres de commerce et d'industrie mentionné à l'article 1er de la loi n° 52-1311 du 10 décembre 1952 précitée, en ce qui concerne la grille nationale des emplois, la rémunération, le travail à temps partiel, le forfait jour, la durée et l'aménagement du temps de travail, les congés payés, le régime de prévoyance complémentaire et de remboursement des frais de santé, le compte épargne-temps, la prévention des risques psychosociaux, le télétravail, la mobilité et le régime de retraite complémentaire. L'application de plein droit de la convention collective mentionnée au troisième alinéa du présent III en lieu et place de celle du statut ne constitue pas une modification du contrat de travail des salariés concernés. IV. - Les comités sociaux et économiques prévus au livre III de la deuxième partie du code du travail sont mis en place concomitamment au niveau de chaque chambre de commerce et d'industrie de région et de CCI France, dans un délai de six mois à compter de la promulgation de la loi n° 2022-172 du 14 février 2022 précitée. Ils sont élus par le personnel de droit privé et les agents de droit public, qui constituent un corps électoral unique. Ils exercent leurs prérogatives à l'égard de l'ensemble de ce personnel. Jusqu'à la proclamation des résultats de ces élections, sont maintenues : 1° Les instances représentatives du personnel prévues à l'article 2 de la loi n° 52-1311 du 10 décembre 1952 précitée ainsi que par le statut du personnel administratif des chambres de commerce et d'industrie mentionné à l'article 1er de la même loi. Ces instances peuvent être consultées et rendre des avis, y compris en ce qui concerne le personnel de droit privé des chambres de commerce et d'industrie ; 2° La représentativité des organisations syndicales des établissements du réseau des chambres de commerce et d'industrie, telle que mesurée à l'issue des dernières élections dudit réseau. V.-Les prérogatives d'information, de consultation et de représentation du personnel de la commission paritaire nationale des établissements du réseau des chambres de commerce et d'industrie instaurée en application de l'article 2 de la loi n° 52-1311 du 10 décembre 1952 précitée sont transférées à l'instance représentative du personnel mise en place au niveau national en application du livre III de la deuxième partie du code du travail, dans des conditions prévues par décret. Les prérogatives d'information, de consultation et de représentation du personnel des commissions paritaires régionales des établissements du réseau des chambres de commerce et d'industrie ainsi que de la commission paritaire de CCI France pour le personnel qu'elle emploie, instaurées en application du statut du personnel administratif des chambres de commerce et d'industrie mentionné à l'article 1er de la loi n° 52-1311 du 10 décembre 1952 précitée, sont transférées, à compter de leur élection, aux institutions représentatives du personnel mises en place au même niveau en application du livre III de la deuxième partie du code du travail. The special approval committee provided for in article 5 of the appendix to article 33 of the status of the administrative staff of the chambers of commerce and industry mentioned in article 1 of law n° 52-1311 of 10 December 1952 mentioned above is maintained at the level of each regional chamber of commerce and industry and of CCI France for the personnel it employs. The conventions and agreements mentioned in Article L. 711-16 of the Commercial Code determine the composition of this commission as well as the procedures for appointing or electing its members. VI.- Public law officials covered by the statute of the administrative staff of the chambers of commerce and industry established on the basis of the aforementioned law n ° 52-1311 of December 10, 1952 may request that their employer be offered a contract private law work. The conditions under which the rights and benefits of agents who have opted for a private law contract are transferred are set by a collective agreement or, failing that, by decree. The agents mentioned in the first paragraph of this VI who have not opted for a private law contract, remain governed, for their individual situation, by the statute of the administrative staff of the chambers of commerce and industry established in application of the law. no. 52-1311 of December 10, 1952 cited above. VII.-In line with the actions carried out by the chambers of commerce and industry in favor of equality between women and men and the encouragement of women's entrepreneurship, the Government submits to Parliament no later than the 1st January 2020 a report on the situation of women entrepreneurs as well as on the possibility of implementing actions at the national level aimed at supporting women entrepreneurs. VIII.-The provisions of the Commercial Code resulting from 10° to 14° of I of this article come into force from the end of the mandate of the consular delegates elected during the year 2016. Rule 46 In Corsica, due to the establishment of the single community since January 1, 2018, a study is conducted jointly by the community of Corsica, the State and the consular chambers in order to propose a diagnosis, an audit, assistance and advice for the institutional and statutory development of the island's consular chambers. This development must be part of an overall process of transferring skills from the State to the Corsican community. This study is submitted to the Parliament as well as to the executive council of Corsica no later than one year after the promulgation of this law. Rule 47 I. V.-Under the conditions provided for in Article 38 of the Constitution, the Government is authorized to take by ordinances, within a period of twelve months from the publication of this law, measures falling within the scope of the law in order to : 1° To establish a harmonized legal regime for savings constituted with a view to the cessation of professional activity, by supplementing chapter IV of title II of book II of the monetary and financial code , as it results from this law , in order to revise the rules applicable to the contracts mentioned in the second paragraph of article L. 132-23 of the insurance code , to the contracts governed by article L. 141-1 of the same code , to the contracts mentioned in the second paragraph of Article L. 223-22 of the Mutuality Code , to the operations mentioned in Article L. 932-23 of the Social Security Codewhich are linked to the cessation of professional activity, to supplementary pension schemes in points managed by insurance companies, mutual insurance companies or unions governed by Book II of the Mutual Insurance Code, including the scheme managed by the Union retirement mutual fund, and provident institutions or unions governed by Title III of Book IX of the Social Security Code and the collective retirement savings plans mentioned in Article L. 3334-1 of the Labor Code , in defining: a) The rules applicable to retirement savings products offered within a collective framework, in particular: - the rules of governance and the procedures for involving company employees in decision-making concerning the management of savings resulting from the payments provided for in Article L. 224-2 of the Monetary and Financial Code; - the rules for setting up these products within the company, as well as the obligations of information and advice, on the occasion of the significant stages in the life of the product and taking into account the investment horizon long-term, applicable in this context; - the procedures for managing the rights of employees in the event of a change in the legal situation of the company or a change of service provider provided for in Article L. 224-6 of the same code ; - the legal regime applicable to a retirement savings product which, except for exceptions based on the seniority in the company of the persons concerned, is intended to benefit all of the company's employees, in particular the origin of the sums which may fund these savings and eligible assets; - the legal regime applicable to a retirement savings product with compulsory affiliation which may only cover one or more categories of employees placed in an identical situation with regard to the guarantees offered, in particular the holders of this product, the origin of the sums intended to fund these savings and eligible assets; - the conditions under which companies can combine the retirement savings products mentioned in the fifth and sixth paragraphs of this a within a single company retirement savings product, as well as the legal regime applicable to this retirement product company retirement savings; b) The rules applicable to individual retirement savings products, in particular the conditions under which these products must be subscribed to and governed by an association representing the interests of savers and the obligations of information and advice, on the occasion of the significant stages the life of the product and taking into account the long-term investment horizon; 2° To amend the Insurance Code to establish the legal regime for group insurance contracts whose performance is linked to the cessation of professional activity, specifying in particular: a) The conditions under which insurance companies and other authorized legal entities must draw up ancillary allocation accounts for the commitments concerned, in order to protect the rights of savers with regard to the allocation of the participation in technical profits and financial or in the event of default by the service provider; b) The nature of the additional guarantees to a retirement savings plan that may appear in the contracts concerned, including guarantees in the event of loss of autonomy of the holder; c) The conditions for setting the rates applied under these contracts and the methods for calculating the transfer value of the rights expressed in annuity units in the event of a transfer mentioned in Article L. 224-6 of the Monetary and Financial Code ; d) The conditions for the transfer of commitments and assets attached to the plan, in the event of a change of service provider provided for in the same article L. 224-6; 3° To modify the insurance code to redefine the governance of associations subscribing to life insurance contracts in order to ensure the overall consistency of the rules applicable to this type of association; 4° To determine the tax regime applicable to the retirement savings plans mentioned in this V by defining in particular: a) The methods of deductibility of the payments mentioned in 1° and 3° of Article L. 224-2 of the Monetary and Financial Code and the corresponding deduction ceilings; b) The conditions for exemption from income tax for the payments mentioned in 2° of the same article L. 224-2; c) The procedures for imposing income tax on the rights corresponding to the payments mentioned in 1° of said Article L. 224-2 which are issued in the form of capital from the date mentioned in Article L. 224-1 of the same code; h) The conditions for exemption from income tax on rights liquidated or redeemed before the expiry date mentioned in Article L. 224-1 of the same code in the cases provided for in 1° to 5° of I of the article L. 224-4 of the same code as well as the rights corresponding to the payments mentioned in 2° of article L. 224-2 of the same code which are liquidated or redeemed before this same date to be allocated to the acquisition of the main residence pursuant to 6° of I of article L. 224-4 of the same code; II.-Pour l'application de la présente expérimentation : 1° La dernière phrase du 7 de l'article L. 511-6 du code monétaire et financier n'est pas applicable ; 2° Est considéré comme : a) Prêteur, par dérogation au 1° de l'article L. 311-1 du code de la consommation, toute personne physique qui, agissant à des fins non professionnelles ou commerciales, consent ou s'engage à consentir un prêt à des personnes physiques agissant à des fins non professionnelles ou commerciales ; b) Emprunteur, un emprunteur au sens du 2° du même article L. 311-1 ; c) Projet, un projet au sens du cinquième alinéa de l'article L. 548-1 du code monétaire et financier. III.-Par dérogation à l'article L. 548-1 du code monétaire et financier et à l'article L. 312-1 du code de la consommation, toute opération de prêt réalisée dans le cadre de la présente expérimentation répond aux conditions suivantes : 1° Un emprunteur ne peut emprunter plus de 30 000 € pour un même projet personnel ; 2° Le montant prêté par prêteur pour une même opération de prêt ne peut être supérieur à 2 000 € ; 3° La durée de remboursement du prêt ne peut être supérieure à soixante mois ; 4° Le taux conventionnel applicable est de nature fixe. Toute opération de prêt réalisée dans le cadre de la présente expérimentation est soumise également aux dispositions du chapitre II du titre Ier du livre III du code de la consommation, à l'exception des sections 10 et 11, ainsi qu'aux articles L. 314-1 à L. 314-9 du même code. IV.-L'intermédiaire en financement participatif remplit les obligations mentionnées au chapitre II du titre Ier du livre III du code de la consommation, à l'exception des sections 10 et 11, et celles mentionnées au chapitre IV du titre Ier du livre III du même code, à l'exception de la section 2, en lieu et place du prêteur, à l'exception de celle mentionnée au II du présent article. Par dérogation à l'article L. 751-2 du code de la consommation, l'intermédiaire en financement participatif est autorisé à consulter le fichier national recensant les informations sur les incidents de paiement caractérisés dans les mêmes conditions que les organismes mentionnés au même article L. 751-2. Il ne peut divulguer, sous quelque forme que ce soit, ni au prêteur ni à un tiers autre que l'emprunteur, les informations contenues dans ce fichier et il ne peut les utiliser que dans le cadre du financement de projets personnels déterminés tels que définis au I du présent article. Il remplit également les obligations prévues à l'article L. 752-1 du code de la consommation. Préalablement à la conclusion du contrat de prêt, l'emprunteur fournit à l'intermédiaire en financement participatif les éléments précis permettant d'identifier son projet personnel. L'intermédiaire en financement participatif fournit au prêteur et à l'emprunteur le contrat qui répond aux exigences posées aux sections 5 et 6 du chapitre II du titre Ier du livre III du code de la consommation. Pour l'application de la présente expérimentation, l'intermédiaire en financement participatif remplit les obligations posées par le chapitre VIII du titre IV du livre V du code monétaire et financier, à l'exception des 3° et 9° de l'article L. 548-6, ainsi que celles prévues aux sections 2 à 7 du chapitre Ier du titre VI du livre V du même code. V.-L'intermédiaire en financement participatif qui souhaite mettre en œuvre l'expérimentation porte cette information au registre unique mentionné à l'article L. 546-1 du code monétaire et financier. L'intermédiaire en financement participatif communique trimestriellement au ministre chargé de l'économie et à l'Autorité de contrôle prudentiel et de résolution les caractéristiques des prêts consentis dans le cadre de l'expérimentation. Il leur remet également, à l'issue de la période d'expérimentation, un rapport d'évaluation. Un décret précise les modalités d'information et de suivi requises de l'intermédiaire en financement participatif ainsi que les modalités d'application du deuxième alinéa du présent V, notamment le contenu du rapport d'évaluation. Le ministre chargé de l'économie, sur avis motivé de l'Autorité de contrôle prudentiel et de résolution, peut mettre fin par décret à l'expérimentation. II.-La mise en œuvre de la faculté prévue au I du présent article ne fait pas obstacle aux contrôles que les comptables publics exercent conformément aux dispositions législatives et réglementaires relatives à la gestion budgétaire et comptable publique. II. - For the duration of the experiment, access to the data collected and to the information making it possible to follow the progress of the collection defined in Articles 35 and 38of decree no. 2003-485 of June 5, 2003 relating to the population survey is extended to agents of the provider company appointed by order of the mayor, or the president of the public establishment for inter-municipal cooperation, when the deliberative body of the latter instructed it to carry out census surveys, subject to the obligations resulting from Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and the free movement of such data, and repealing Directive 95/46/EC (general regulation on data protection) and Law No. 78-17 of January 6, 1978 relating to data processing, to files and freedoms. III. - At the end of at least two years of experimentation, the National Institute of Statistics and Economic Studies sends the President of the National Commission for the Evaluation of the Population Census a report summarizing this experiment. This report is presented to the National Council for Statistical Information, which gives an advisory opinion on the advisability of generalizing the system tested. The decree provided for in I of this article specifies the years of surveys concerned by the experiment as well as the methods to be followed for the companies participating in the experiment and determines the methods of monitoring the experiment as well as the methods of association. on the balance sheet of the municipalities, Section 128 On an experimental basis, for a period of three years from the publication of this law, on the territory of the Provence-Alpes-Côte d'Azur region, the period mentioned in the penultimate paragraph of article L 252-1 of the Construction and Housing Code is reduced to six years for organizations benefiting from the project management approval provided for in Article L. 365-2 when the housing leased have been vacant for more than a year at the time of the signing of the lease. Section 129 On an experimental basis, for a period of three years from the entry into force of the decree provided for in the second paragraph of this article, access to genetic resources taken from micro-organisms on the territory of metropolitan France is not not subject to compliance with the requirements of section 3 of chapter II of title I of book IV of the environmental code. A decree specifies the information required from the users of genetic resources mentioned in the first paragraph of this article in order to monitor and evaluate the experiment. The experimentation provided for in this article is not applicable to the genetic resources mentioned in 3° of article L. 1413-8 of the public health code . IV.- Under the conditions provided for in Article 38 of the Constitution, the Government is authorized to take by ordinance, within a period of three months from the promulgation of this law, any measure falling within the scope of the law in order to establish it as an authority within the meaning of the first paragraph of article 1 of law n° 2017-55 of January 20, 2017on the general status of independent administrative authorities and independent public authorities, or to integrate into one of these authorities the independent supervisory authority within the meaning of Directive 2009/12/EC of the European Parliament and of the Council of March 11, 2009 on airport charges responsible for approving the rates for airport charges mentioned in Article L. 6325-1 of the Transport Code and for issuing an assent to the Minister responsible for civil aviation on contracts governed by Article L 6325-2 of the same code, including on the weighted average cost of capital mentioned in these contracts. These measures determine the aerodromes under the competence of the authority, its composition, the procedures for exercising its powers as well as the fundamental principles relating to its organization and operation. For the ordinance mentioned in the first paragraph of this IV, a ratification bill is tabled before Parliament within three months of the publication of the ordinance. Section 135 I.-Par dérogation aux articles L. 2253-1, L. 3231-6, L. 4211-1 et L. 5111-4 du code général des collectivités territoriales, les collectivités territoriales d'Ile-de-France, leurs groupements et le département de l'Oise peuvent, après autorisation de leur organe délibérant, détenir des actions de la société Aéroports de Paris. L'organe exécutif des collectivités territoriales d'Ile-de-France, de leurs groupements ou du département de l'Oise, par délégation de l'assemblée délibérante, peut être chargé, pour la durée de son mandat, de prendre toute décision concernant l'acquisition de titres de la société Aéroports de Paris dans le cadre de la cession, par l'Etat, de ces titres, lorsque les crédits sont inscrits au budget. L'organe exécutif informe l'assemblée délibérante des actes pris dans le cadre de cette délégation à la plus proche séance suivant la fin de l'opération de cession. Sauf disposition contraire dans la délibération portant délégation, l'exécutif peut subdéléguer les attributions confiées par l'assemblée délibérante dans les conditions prévues aux articles L. 2122-18, L. 3221-3, L. 4231-3 et L. 5211-9 du code général des collectivités territoriales. L'acquisition de ces actions peut être réalisée au travers de la prise de participations au capital de sociétés commerciales ayant pour seul objet de détenir, directement ou indirectement, des actions de la société Aéroports de Paris. Les accords conclus par les collectivités territoriales d'Ile-de-France, leurs groupements et le département de l'Oise pour participer ensemble ou avec d'autres personnes publiques ou privées à toute procédure de cession du capital de cette société ne constituent pas des marchés publics au sens du code de la commande publique. II. - A modifié les dispositions suivantes : - LOI n° 2015-990 du 6 août 2015 Art. 191 Article 136 I.-A créé les dispositions suivantes : -Code des transports Art. L6323-7 II.-L'article 130, à l'exception de son huitième alinéa, les articles 131 à 133, le 1° du II de l'article 134 et le I du présent article entrent en vigueur à la date de transfert au secteur privé de la majorité du capital d'Aéroports de Paris. Les décrets mentionnés au dernier alinéa du 1° du I de l'article L. 6323-2-1, aux articles L. 6323-4 et L. 6323-4-1 du code des transports, tels que modifiés ou créés par la présente loi, sont publiés avant la date de transfert au secteur privé de la majorité du capital d'Aéroports de Paris et entrent en vigueur à cette même date. L6323-1 Sous-section 2 : La Française des jeux (Articles 137 à 139) Article 137 Modifié par Ordonnance n°2019-1015 du 2 octobre 2019 - art. 45 I.-The operation of lottery games marketed in the physical distribution network and online as well as sports prediction games marketed in the physical distribution network is entrusted for a limited period to a single legal person subject to a tight state control. II.-La Française des jeux is designated as the sole legal entity mentioned in I of this article from the publication of this law. III.-The transfer to the private sector of the majority of the capital of La Française des jeux is authorized. The decree deciding the transfer to the private sector of the majority of the capital of La Française des jeux comes into force after the filing of the bill ratifying the ordinance mentioned in IV of this article. IV.- Under the conditions provided for in Article 38 of the Constitution, the Government is empowered to take by ordinance, within a period of six months from the publication of this law, any measure falling within the scope of the law having as its purpose: 1° To specify the scope of the exclusive rights mentioned in I, with a legal definition of the categories of games authorized, and the consideration due by the single legal person mentioned in the same I for their granting; 2° To define the conditions under which the exclusive rights mentioned in I are exercised, in particular the limited duration for the exercise of these rights, which may not exceed twenty-five years; 3° To define the conditions of organization and exploitation of the exclusive rights mentioned in I as well as the methods of close control over the single legal person mentioned in the same I by providing for the conclusion of an agreement between the State and the person unique morality mentioned in said I or compliance by this same person with specifications defined by the State; 4° To define the procedures for the approval of the required State in the event of crossing the thresholds of the capital or the voting rights of the company mentioned in II; 5° To redefine and specify the procedures for exercising the power of control and administrative policing of the State over the entire sector of gambling and games of chance as well as the procedures for regulating this sector, in particular the provisions applicable to the authority mentioned in article 34 of law no. 2010-476 of 12 May 2010on the opening up to competition and regulation of the online gambling sector, with a view to setting up an independent administrative supervisory and regulatory authority providing guarantees of independence adapted to its missions. These regulatory methods include the control of the commitments made by the operators to meet the objectives defined in 1° to 3° of I of Article 3 of the same law, in particular with regard to commercial communications in favor of games of money and chance, prevention messages aimed at players, and the reinforcement of the protection of minors as well as the reinforcement of the means of combating illegal activities, in particular illegal offers of gambling; 6° To modify or reinforce the existing administrative and penal sanctions and provide for new sanctions in the event of ignorance of the rules applicable to the sector of gambling and games of chance, in particular by the establishment of a fine sanctioning the sale or offering free gambling and games of chance to minors; 7° To make applicable in New Caledonia, in French Polynesia, in the Wallis and Futuna Islands and in the French Southern and Antarctic Lands, with the necessary adaptations, the provisions resulting from 1° to 6°, for those falling under the competence of the State, on the one hand, and to make the necessary adaptations of these provisions with regard to the communities of Saint-Barthélemy, Saint-Martin and Saint-Pierre-et-Miquelon, 8° To repeal the provisions that are obsolete, unsuitable or no longer applicable and to make to the other legislative provisions in force any other modifications made necessary for the implementation of the provisions resulting from 1° to 7°. A ratification bill is tabled before Parliament within three months of the publication of the ordinance mentioned in this IV. V.-The management fees deducted by online gaming or betting operators and by the single legal entity mentioned in I of this article from the sums they set aside in accordance with the provisions of the fourth and seventh paragraphs of article 17 of law no. 2010-476 of 12 May 2010relating to the opening up to competition and regulation of the online gambling and gambling sector and the last paragraph of Article 66 of the same law are limited to an amount per lump sum account defined by regulation, levied three months before the expiry of the six-year period. No other type of debit may be made by the operator on closed accounts whose assets are placed in reserve. VI.- (Repealed) Section 138 Amended by LAW n° 2019-1479 of December 28, 2019 - art. 28 (V) I.-A.- A levy is instituted on the gross proceeds of lottery games marketed in the physical distribution network and online mentioned in I of Article 137 of this law. The levy is payable by the legal person in charge of operating the lottery games mentioned in the first paragraph of this A. The levy is based on the gross proceeds of the games, consisting of the difference between the sums wagered by the players and the sums paid or to be paid back to the winners. The sums committed by the players as of January 1, 2020 are defined as sums wagered as of the date of the occurrence of the event(s) on which the game is based, including those contributed by the operator free of charge. The sums paid or to be paid back to the winners are made up of all the winnings in cash or in kind paid or to be paid back to the players from the date of the occurrence of the event or events on which the game is based, excluding the sums in cash or in kind granted free of charge to certain players within the framework of commercial actions. To calculate the levy, the amount of the gross proceeds from the games is multiplied by the ratio between, on the one hand, the amount of bets placed on the game in mainland France and in the overseas departments and, on the other part, the total amount of bets made on the game. The levy rate is set at 54.5% for traditional draw games where the first rank of winnings is distributed in the mutual form and at 42% for other lottery games. The chargeability of the debit is constituted by the occurrence of the event or events on which the game is based. For lottery games for which the intervention of chance is prior to the provision of the game medium, the chargeability of the debit constituted by the allocation to the game of the bets made by the player. The product of the direct debit is declared and liquidated by the legal person in charge of the operation of the lottery games mentioned in I of article 137 on a monthly declaration whose model is fixed by the administration. It is filed, together with payment, within the deadlines set for turnover tax. In the event that the gross gaming revenue calculated for a month is negative, this is deducted from the gross gaming revenue calculated for the following months. The levy is collected and controlled according to the same procedures and subject to the same sanctions, guarantees, sureties and privileges as turnover taxes. Claims are presented, investigated and judged according to the rules applicable to these same taxes. B.-The levy mentioned in A of this I gives rise to the payment, to the competent public accountant, of an installment for the month of December made each year in December under conditions fixed by decree. The amount of this deposit is equal to the amount of the levy due for the month of November of the same year. If the deposit paid is less than the levy due for the month of December, the balance is paid in the month of January following the payment of the deposit under conditions set by decree. If the deposit paid is greater than the deduction due for the month of December, the excess is deducted from the following payments. II.-A.-A levy for the benefit of the State is instituted on the sums bet by players in the context of lottery games marketed in a physical distribution network and online as well as sports betting games marketed in a network physical distribution mentioned in I of article 137 of this law. This levy is payable by the legal person in charge of operating the lottery and sports betting games mentioned in the first paragraph of this A. For games other than instant games, the fraction deducted is made up of the prizes and winnings not claimed by the winners at the expiry of the foreclosure periods set by the regulations of these games. For instant games, it consists of the balance of the share of stakes allocated to players in the form of prizes and winnings, after deduction of prizes paid at the expiry of the foreclosure periods set by the regulations for these games. The fraction deducted is also made up of unclaimed prizes and winnings under the conditions set out in the third paragraph of this A relating to syndicated gambling between players and groups of players, after deduction of the shares on which the players have not committed stake, as well as those relating to the latter. This levy is collected each year, for games and events for which payment is foreclosed, under conditions set by decree. It is controlled according to the same procedures and subject to the same sanctions, guarantees, sureties and privileges as turnover taxes. Claims are presented, investigated and judged according to the rules applicable to these same taxes. B.-Letter A of this II applies to prizes and winnings paid from January 1, 2020, with the exception of prizes and winnings of the first rank of distribution and put into play in the context of sports betting games organized in mutual and traditional raffle form, as well as first-tier prizes and winnings from additional raffle games. The legal person mentioned in the same A puts into play the first-rank prizes and winnings mentioned in the said A in the context of games or promotional operations organized subsequently. III.-. L110-1-3 (V) Section 177 I.-The sustainability fund is constituted by the free and irrevocable contribution of capital securities or shares of one or more companies carrying out an industrial, commercial, craft or agricultural activity, or directly or indirectly holding interests in one or more companies carrying out such an activity, carried out by one or more founders so that this fund manages these securities or units, exercises the rights attached thereto and uses its resources with the aim of contributing to the economic sustainability of this or these companies and can carry out or finance works or missions of general interest. II.-The statutes must be established in writing. In particular, they determine the name, purpose, headquarters and operating procedures of the sustainability fund as well as the composition, conditions for appointment and renewal of the board of directors and the management committee mentioned in VII. The object includes an indication of the principles and objectives applied to the management of the securities or units of the company or companies mentioned in I, to the exercise of the rights attached thereto and to the use of the fund's resources, as well as an indication of the actions envisaged in this context. It also includes, where applicable, an indication of the works or missions of general interest that it intends to carry out or finance. The articles of association define the methods according to which they can be modified. However, the modification of the object can only be decided after two deliberations of the Board of Directors, bringing together at least two thirds of the members, taken at least two months and at most six months apart and by a majority two-thirds of the members. For the calculation of the quorum, the represented members are not taken into account. III.-The sustainability fund is declared to the prefecture of the department in whose jurisdiction it has its registered office. This declaration is accompanied by the filing of its articles of association, to which is attached the indication of the securities or shares made inalienable by application of IV. These documents are published under conditions set by decree. The sustainability fund enjoys legal personality from the date of publication in the Official Journal of the declaration made in the prefecture. Amendments to the statutes of the sustainability fund and their appendix are declared and made public according to the same procedures; they are not binding on third parties until they are published. IV.-The endowment of the sustainability fund is made up of securities or shares contributed by the founder(s) when it was set up, as well as goods and rights of any kind that may be contributed to it free of charge and irrevocably. Article 910 of the Civil Code is not applicable to these donations. The capital securities or shares of the company or companies mentioned in I of this article are inalienable. However, when the sustainability fund controls, within the meaning of Article L. 233-3 of the Commercial Code , by the effect of a gift or an acquisition or situation prior to these, one or several of these companies, the contributor or the testator, during the donation, or the board of directors, during an acquisition, may decide that this inalienability does not affect all or part of the titles or shares, within the limit of the fraction of the share capital which is not necessary for the exercise of this control. Under the conditions of the second paragraph of Article 900-4 of the Civil Code , the sustainability fund may be legally authorized to dispose of inalienable securities or shares if it happens that the economic sustainability of the company or companies required. No public funds of any kind may be paid into a sustainability fund. The resources of the sustainability fund are made up of income and proceeds from its endowment, proceeds from activities authorized by the statutes and proceeds from compensation for services rendered. The sustainability fund freely disposes of its resources within the limits of its purpose. Subject to the provisions of the second and third paragraphs of this article, the articles of association set the conditions under which the capital endowment may be consumed. V.-A bequest may be made for the benefit of a perennial fund which does not exist on the day of the opening of the succession provided that the testator has designated one or more persons responsible for constituting it and that he acquires legal personality in the year following the opening of the succession. In this case, the legal personality of the sustainability fund is retroactive to the day of the opening of the succession. Otherwise, the bequest is void. For the accomplishment of the formalities of constitution of the fund of perenniality, the people in charge of this mission have the seisin on the titles, movables and buildings bequeathed. They have a power of administration over them, unless the testator has conferred more extensive powers on them. VI.-The sustainability fund is administered by a board of directors which includes at least three members appointed, the first time, by the founder(s) or, in the case provided for in V, the persons designated by the testator to set it up. . The Board of Directors is vested with the broadest powers to act in all circumstances on behalf of the sustainability fund, within the limits of its purpose. The statutory clauses limiting the powers of the Board of Directors resulting from this paragraph are unenforceable against third parties. In relations with third parties, the Board of Directors engages the sustainability fund by acts falling within its object. Acts carried out outside this purpose are null, without this nullity being opposable to third parties in good faith. VII.-The statutes of the sustainability fund provide for the creation, within the board of directors, of a management committee, composed of at least one member of the board of directors and two members who are not members of this board. This committee is responsible for the ongoing monitoring of the company or companies mentioned in I and makes recommendations to the Board of Directors on the financial management of the endowment, on the exercise of the rights attached to the securities or shares held as well as on the shares , and the associated financial needs, making it possible to contribute to the economic sustainability of these companies. This committee can also propose studies and expertise. VIII.-Le fonds de pérennité établit chaque année des comptes qui comprennent au moins un bilan et un compte de résultat. Ces comptes sont publiés dans un délai de six mois suivant la clôture de l'exercice. Le fonds de pérennité nomme au moins un commissaire aux comptes, choisi sur la liste mentionnée au I de l'article L. 822-1 du code de commerce, dès lors que le montant total de ses ressources dépasse 10 000 € à la clôture du dernier exercice. Les peines prévues à l'article L. 242-8 du même code sont applicables aux membres du conseil d'administration du fonds de pérennité en cas de défaut d'établissement des comptes. Lorsque le commissaire aux comptes relève, à l'occasion de l'exercice de sa mission, des faits de nature à compromettre la continuité de l'activité du fonds, il informe le conseil d'administration et recueille ses explications. Le conseil d'administration est tenu de lui répondre dans un délai fixé par décret. A défaut de réponse ou si les mesures prises lui apparaissent insuffisantes, il établit un rapport spécial qu'il remet au conseil d'administration et dont la copie est communiquée au comité de gestion et à l'autorité administrative, et invite le conseil à délibérer sur les faits relevés, dans des conditions et délais fixés par décret. IX.-L'autorité administrative s'assure de la régularité du fonctionnement du fonds de pérennité. A cette fin, elle peut se faire communiquer tous documents et procéder à toutes investigations utiles. Le fonds de pérennité adresse chaque année à l'autorité administrative un rapport d'activité auquel sont joints le rapport du commissaire aux comptes et les comptes annuels. Si l'autorité administrative constate des dysfonctionnements graves affectant la réalisation de l'objet du fonds de pérennité, elle peut, après mise en demeure non suivie d'effet, décider, par un acte motivé qui fait l'objet d'une publication au Journal officiel, de saisir l'autorité judiciaire aux fins de sa dissolution. Les modalités d'application du présent article sont fixées par décret. X.-Le fonds de pérennité peut être dissous dans les conditions définies par ses statuts. Il peut également être dissous judiciairement, notamment dans le cas prévu au troisième alinéa du IX. La décision de dissolution fait l'objet de la publication prévue au même troisième alinéa. La dissolution du fonds entraîne sa liquidation dans les conditions prévues par ses statuts ou, à défaut, à l'initiative du liquidateur désigné par l'autorité judiciaire. A l'issue des opérations de liquidation, l'actif net du fonds est transféré à un bénéficiaire désigné par les statuts, à un autre fonds de pérennité, une fondation reconnue d'utilité publique ou un fonds de dotation. L2681-1 (DV) Section 196 I. - Under the conditions provided for in Article 38 of the Constitution, the Government is authorized to take by ordinances, within a period of twenty-four months from the promulgation of this law, under conditions favoring the pursuit of the activity, the safeguarding of employment, the adjustment of the liabilities and the rebound of the honest entrepreneurs and allowing the reduction of the costs and the delays of the procedures, the measures falling within the field of the law necessary to make compatible the provisions of the books IV, VI and VIII of the Commercial Code with European Union law, in particular: 1° By replacing the provisions relating to the adoption of safeguard plans in the presence of creditors' committees by provisions relating to aadoption of these plans by classes of creditors; 2° By introducing the possibility for the court to adopt a plan despite the opposition of one or more classes of creditors; 3° By specifying the guarantees and conditions necessary for the implementation of 1° and 2°, relating in particular to the protection of the interests of the debtor, the creditors and the persons concerned by the safeguard plans; 4° By imposing compliance with the subordination agreements entered into before the opening of the safeguard procedure; 5° By adjusting the rules relating to the suspension of proceedings; 6° By developing measures intended to promote the rebound of individual entrepreneurs who are the subject of judicial liquidation and professional recovery procedures; 7° By modifying the safeguard and receivership procedures in order to bring them into line with the modifications made pursuant to this I; 8° By modifying accordingly the provisions of a legislative nature making it possible to ensure the implementation and to draw the consequences of the modifications made pursuant to this I; 9° By making applicable in the Wallis and Futuna Islands, with the necessary adaptations, the legislative provisions adopted pursuant to this I for those which fall within the jurisdiction of the State. II. - A ratification bill is tabled before Parliament within four months of the publication of the ordinance mentioned in I. Section 197 I. - Under the conditions provided for in Article 38 of the Constitution, the Government is authorized to take by ordinances, within a period of six months from the promulgation of this law: 1° Measures relating to the field of laws to transpose Directive 2014/50/EU of the European Parliament and of the Council of 16 April 2014 on minimum requirements aimed at increasing the mobility of workers between Member States by improving the acquisition and preservation of supplementary pension rights aimed at at : a) Establish a ban on making the definitive acquisition of supplementary pension rights under the schemes concerned conditional on the presence of the beneficiaries in the company beyond a period of three years, in compliance with the rights in course of constitution prior to the entry into force of the ordinance; b) Take transitional provisions for existing defined-benefit pension plans which condition the creation of benefit rights upon the completion of the beneficiary's career in the company; c) Establish provisions guaranteeing that beneficiaries are informed of their rights and the consequences of their career choices on them; 2° The measures falling within the scope of the law necessary for the modernization of the legal framework of defined-benefit pension schemes financed by companies and authorizing the constitution of supplementary pension rights, aimed at: a) Adapting the social scheme applicable to payments employers in order to bring it into line with that applicable to other supplementary pension schemes and, for the beneficiaries, to adapt the tax and social regime applicable to pensions paid and to employer payments under these schemes; b) Determine the ceilings for the acquisition of supplementary pension rights, paid in the form of life annuities, without the possibility of retroactive acquisition, conditioning the application of the tax regime and the social regime mentioned in a of this 2°; c) Set the conditions under which the implementation of these schemes is subject to the existence or implementation of a supplementary retirement scheme benefiting all employees; d) Define the terms according to which the benefit of the rights to benefits may be subject to compliance with conditions linked to the professional performance of the beneficiary or to any other individual criterion; 3° Any coordination measure within the insurance code, the social security code, the mutuality code, the labor code, the commercial code and the general tax code resulting from this article. II. - A ratification bill is tabled before Parliament within three months of the publication of the ordinance provided for in I. VI.-Dans les conditions prévues à l'article 38 de la Constitution, le Gouvernement est autorisé à prendre par ordonnances, dans un délai de douze mois à compter de la promulgation de la présente loi, les mesures relevant du domaine de la loi permettant : 1° De transposer la directive (UE) 2017/828 du Parlement européen et du Conseil du 17 mai 2017 modifiant la directive 2007/36/ CE en vue de promouvoir l'engagement à long terme des actionnaires ; 2° De créer un dispositif unifié et contraignant encadrant la rémunération des dirigeants des sociétés cotées, en adaptant les dispositions correspondantes du livre II du code de commerce dans le cadre de la transposition des articles 9 bis et 9 ter de la directive 2007/36/ CE du Parlement européen et du Conseil du 11 juillet 2007 concernant l'exercice de certains droits des actionnaires de sociétés cotées, dans leur rédaction résultant de la directive (UE) 2017/828 du Parlement européen et du Conseil du 17 mai 2017 précitée ; 3° De procéder aux adaptations et harmonisations des codes et lois pour tenir compte des dispositions législatives résultant des I à IV du présent article et de celles prises sur le fondement des 1° et 2° du présent VI ; 4° De rendre applicables dans les îles Wallis et Futuna, en Nouvelle-Calédonie et en Polynésie française, avec les adaptations nécessaires, les dispositions prises sur le fondement des 1° et 2° du présent VI, pour celles qui relèvent de la compétence de l'Etat, et de procéder aux adaptations de ces dispositions en ce qui concerne les collectivités de Saint-Barthélemy, Saint-Martin et Saint-Pierre-et-Miquelon. Un projet de loi de ratification est déposé devant le Parlement dans un délai de trois mois à compter de la publication de l'ordonnance. Article 199 Dans les conditions prévues à l'article 38 de la Constitution, le Gouvernement est autorisé à prendre par ordonnances, dans un délai de douze mois à compter de la promulgation de la présente loi, les mesures relevant du domaine de la loi : 1° Nécessaires à la transposition de la directive (UE) 2016/2341 du Parlement européen et du Conseil du 14 décembre 2016 concernant les activités et la surveillance des institutions de retraite professionnelle (IRP) ; 2° Aménageant les règles applicables aux organismes de retraite professionnelle mentionnés à l'article L. 381-1 du code des assurances, à l'article L. 214-1 du code de la mutualité et à l'article L. 942-1 du code de la sécurité sociale afin de renforcer l'attractivité de ces organismes, de simplifier les règles qui leur sont applicables, d'étendre le champ des risques qu'ils couvrent et de favoriser les transferts de portefeuille vers les organismes nouvellement créés ; 3° Permettant de renforcer la compétitivité et l'attractivité des activités menées par les personnes morales et les institutions de retraite professionnelle collective mentionnées à l'article 8 de l'ordonnance n° 2006-344 du 23 mars 2006 relative aux retraites professionnelles supplémentaires, en les autorisant à exercer toute activité prévue par la directive (UE) 2016/2341 du Parlement européen et du Conseil du 14 décembre 2016 précitée et en définissant les règles applicables à ces personnes morales, en particulier leur forme juridique, leurs modalités d'agrément, de surveillance et d'organisation ainsi que les conditions dans lesquelles elles assurent la gestion financière et technique de leurs activités ; 4° Procédant aux adaptations et harmonisations des codes et lois pour tenir compte des dispositions prises sur le fondement des 1° à 3°. III. - A. - In order to strengthen financial stability, the protection of depositors and investors and to reduce the risk of recourse to public finances in the event of a banking crisis, under the conditions provided for in Article 38 of the Constitution, the Government is authorized to take by ordinances, no later than January 31, 2021, the measures falling within the scope of the law necessary to: 1° Supplementing and modifying the provisions of the Monetary and Financial Code and, where applicable, those of other codes and laws, in order to transpose: a) Directive (EU) 2019/878 of the European Parliament and of the Council of 20 May 2019 amending Directive 2013/36/EU as regards exempted entities, financial holding companies, mixed financial holding companies, remuneration, supervisory measures and powers and capital conservation measures, providing for the coordination measures necessary to extend these rules to finance companies; b) Directive (EU) 2019/879 of the European Parliament and of the Council of 20 May 2019 amending Directive 2014/59/EU as regards the loss-absorbing and recapitalization capacity of credit institutions and credit undertakings investment and Directive 98/26/EC; 2° To adapt and clarify, in order to facilitate the implementation of the rules mentioned in 1° of this A, the rules governing collective proceedings opened with regard to entities belonging to a financial group within the meaning of III of Article L. 511-20 of the Monetary and Financial Code ; 3° Coordinating and simplifying the provisions of the Monetary and Financial Code and, where applicable, those of other codes and laws, to take account of the modifications introduced pursuant to 1° and 2° of this A; 4° Allow to make applicable in New Caledonia, in French Polynesia and in the Wallis and Futuna Islands, with the necessary adaptations to their own competences, the provisions taken in application of 1° to 3° and to proceed, if necessary, the adaptations of these provisions with regard to the communities of Saint-Barthélemy, Saint-Martin and Saint-Pierre-et-Miquelon. Section 202 Under the conditions provided for in Article 38 of the Constitution, the Government is authorized to take by ordinances, within a period of twelve months from the publication of this law, any measure falling within the scope of the law necessary for the transposition Directive (EU) 2017/1371 of the European Parliament and of the Council of 5 July 2017 on the fight against fraud affecting the financial interests of the Union by means of criminal law. L375-2 Chapter V: Monitoring and evaluation system (Article 221) Section 221 I.-The Government sends to Parliament, every six months until the publication of all the ordinances and regulatory measures concerned: 1° A scoreboard of the progress of the ordinances that the Government is empowered to be taken in application of this law, presenting the main arbitrated orientations and containing the useful impact data; 2° A schedule of the regulatory measures to be taken in application, where applicable, of the provisions of this law, mentioning the consultations carried out and the services which are mainly responsible for them. II.- At the latest three months after the publication of this law, a committee for the evaluation of policies in favor of business growth and transformation is set up under the Prime Minister. The committee brings together members of Parliament from the majority and the opposition, experts from academia and stakeholders in the economic reforms carried out. He submits to Parliament, before the budget bill is tabled, a public annual report. This publication gives rise, at their request, to a hearing of the evaluation committee by the competent standing committees of the National Assembly and the Senate. This annual report focuses on the economic effects, the appropriation by the actors concerned and the possible undesirable effects of the reforms aimed at the development of enterprises adopted by Parliament, including those relating to their level of social charges. III.-The evaluation committee mentioned in II assists Parliament in monitoring the application and in evaluating this law. In this context, the first three annual reports provided for in the same II present sections relating to at least each of the following themes: 1° The creation of a single body and register of administrative formalities for companies and their effects on the facilitation business life; 2° The impact of the changes made to the regime of the individual entrepreneur with limited liability on the facilitation of the creation of this type of business; 3° The simplification of the legal thresholds applicable to companies, its effect on the growth of French companies and the impact of changes in the calculation of workforce thresholds on the rights and duties of companies and employees; 4° The consequences of the reform of securities law on companies' access to financing and on the cost of this financing, as well as with regard to the abolition or creation of new classes of security, in particular that of special property liens; 5° The impact of the retirement savings reform on outstandings, costs, early release behavior and release on exit of subscribers to retirement savings products; 6° The impact of the introduction of the obligation to present units of account invested in green or solidarity finance in retirement savings and life insurance contracts on the outstanding amounts of green and solidarity funds; 7° The impact of the transparency and mobility of life insurance contracts, in particular with regard to the number of contracts transferred compared to the number of contracts in progress; 8° The impact of the optional approval of token issues on the number of issues carried out in France and the capacity of issuers to 9° The impact of the PEA-PME reform on the number of accounts opened and the volume of payments made; 10° The effects of the creation of an administrative procedure for opposing patents issued by the National Institute of Industrial Property; 11° The effects of the transfer to the private sector of the majority of the capital of Aéroports de Paris, once this transfer has been completed, particularly with regard, where applicable, to the operating obligations defined by the specifications mentioned in ' article L. 6323-4 of the transport code; procedures for authorizing operations leading to the transfer, contribution or creation of security relating to one of the assets whose ownership must be transferred to the State at the end of the operation, pursuant to Article L. 6323-6 of the same code; and the airport charges provided for in Article L. 6325-1 of the said code; 12° The effects of the transfer to the private sector of the majority of the capital of the company La Française des jeux, once this transfer has been completed, as well as the effects of the reform of the regulation of the gambling sector following the the establishment of the new supervisory and regulatory authority; 13° The effects of the removal of the threshold for ownership of Engie's capital by the State and the obligation of full ownership of GRTgaz by Engie, the State or public sector companies or bodies, in particular with regard to the possible consolidation of the sector at European level; 14° The effects of the abolition of the obligation for the State to hold the majority of the capital of the public limited company La Poste, in particular on the development of its public service missions; 15° The governance of the Fund for Innovation and Industry, its priorities, its methods of financial management, allocation of funds and transparency; 16° The modernization of the legal framework for the protection of French strategic sectors, particularly with regard to the extraterritoriality of judicial processes; 17° The impact of the relaxation of profit-sharing and profit-sharing plans as well as the reduction in the social package on the deployment of employee savings agreements and the effect of these new employee savings agreements on employees; 18° The effects of the evolution of employee shareholding schemes on the sharing of the value created by the company among the employees as well as on the influence of the employees on the governance and the strategy of the company; 19° The deployment of companies with a mission, analyzed according to the number of companies that have used this status and the financial and extra-financial impact that this status has had on their activity; 20° The deployment of economic sustainability funds, analyzed according to the number of founders who have used them and the observable consequences on the governance and performance of the companies concerned; 21° The economic and managerial effects of the presence of directors representing employees on the boards of directors or supervisory boards of the companies concerned, since the entry into force of law no. 2015-994 of 17 August 2015 relating to the social dialogue and employment; 22° The procedures for implementing a database on payment terms for public entities, which can be consulted and downloaded free of charge from the website of the Ministry responsible for the economy, intended to serve as a reference for informing companies regarding compliance with the provisions relating to payment deadlines; 23° The impact of the implementation of the measures concerning the statutory auditors provided for in Articles L. 823-2-2 , L. 823-3-2 , L. 823-12-1 and L. 823-12- 2 of the Commercial Code in their wording resulting from this law.
