The Code was issued by the Monetary Authority of Singapore after an extensive review of the previous version of 2005. It expects companies to state in the corporate governance section of their Annual Reports how they have adhered to the principles and guidelines of the Code. It requires that every company provides clear disclosure of its remuneration policies, level and mix of remuneration, and the procedure for setting remuneration (Principle 9). In addition, guideline 15.4 stipulates that the Board should state in the company’s Annual Report the steps it has taken to solicit and understand the views of shareholders. These may include analyst briefings, investor roadshows or Investors’ Day briefings.
