The Code is primarily related to the protection of interests of shareholders, adequate balance and distribution of functions between corporate bodies as well as adequate disclosure of corporate information. Principle 9 of the Code recognises the role of stakeholders broadly – i.e. not only shareholders. Companies are required to make a public statement in their annual reports on compliance with the provisions of the Code. Principle 10 requires that the corporate governance framework ensures timely and accurate disclosure on all material information regarding the company, including the financial situation, performance and governance of the company. Disclosure should among others address material risk factors; material issues regarding employees and other stakeholders; as well as governance structures and strategy.
