The purpose of the Principles of Corporate Governance of Ukraine is to lay down principles and recommendations, based on international best practices, of corporate governance and tailored to Ukraine’s needs. It states that Companies should follow the Principles in practice by, among others, disclosing information on the observance of the Principles in an annual report. The supervisory board is tasked to take full responsibility for being guarantor of an effective system of information disclosure. The company is expected to disclose full and accurate information on all matters of importance concerning the company in a timely fashion and by convenient means (section 4). This should help shareholders, creditors and potential investors to make informed decisions. Specific mention is made of matters such as remuneration, risk and observance of the principles.
