Summary

The Public Limited Liability Companies Act contains provisions on, among other things, founding basis and share subscription, company capital, share owners and change of ownership. Furthermore, rules are given about the general meeting, the company's management, the auditor, distribution of dividends, subscription and acquisition of own shares, increase and decrease of share capital and financial instruments (loans with the right to demand issued shares, subscription rights, independent subscription rights and loans with special conditions). Provisions are also made on the merger and division of companies, conversion to a limited liability company, dissolution and liquidation and compensation.
