This is a mandatory code for the private sector (comply or explain for non profit organizations), it provides an improved governance regime if complied, the board is to report annually on the nature and extent of its social, ethical, safety, health and environmental policies and practices. The Code provides that violations of the provisions will result in personal sanctions against the persons directly involved, and sanctions against the companies or firms involved. However, the nature of these sanctions are not provided for by the Code
