The recommendations supplement company law and stock exchange regulation as well as the requirements for financial reporting in Denmark on a “comply or explain” basis. There is a requirement to publish a corporate governance report (part of management commentary in the Annual Report) regarding companies’ compliance with the principles of corporate governance. Section 5 of the Recommendations require that the Annual Report and other financial reports be supplemented by additional financial and non-financial information, if deemed necessary or relevant in relation to the information needs of the recipients (report users).
